By creating an account, accessing, downloading, or using Heda, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.
1) General Terms and Eligibility
You must be at least 18 years old to use Heda. By using the Service, you represent that you meet this requirement, that you have authority to agree to these Terms, and that the information you provide is accurate and complete.
These Terms apply to the Heda app, website, and related services. Your use of the Service is also subject to our Privacy Policy and any additional terms presented for specific features.
2) Your Account
You are responsible for maintaining the confidentiality of your login credentials and for activity under your account.
- Do not share your account credentials.
- Do not create fake, misleading, impersonation, or unauthorized accounts.
- Keep your profile and account information accurate.
- Notify us promptly if you suspect unauthorized account access.
3) License and Service Use
Subject to these Terms, Nere Labs grants you a limited, revocable, non-exclusive, non-transferable license to access and use Heda for personal, non-commercial purposes. We reserve all rights not expressly granted to you.
We may modify, suspend, discontinue, update, or remove features of the Service at any time, with or without notice where permitted by law. Updates may modify or remove features, and we have no obligation to continue providing any particular feature.
4) Acceptable Use and Restrictions
You agree not to use Heda for or in connection with:
- Spam, scams, fraudulent behavior, phishing, or deceptive activity.
- Harassment, hate, threats, abuse, exploitation, or conduct that creates safety risk.
- Explicit sexual content or sexual solicitation.
- Fake accounts, impersonation, unauthorized promotions, or platform manipulation.
- Illegal activity or encouraging illegal activity.
- Uploading malware, interfering with the Service, or attempting unauthorized access.
- Copying, scraping, reverse engineering, decompiling, or extracting source code except as allowed by law.
- Violating another person's privacy, intellectual property, or other rights.
We may investigate suspected violations and take action, including content removal, feature limits, suspension, or account termination.
5) User Content
You may submit profile details, photos, messages, support requests, and other materials ("User Content"). You keep ownership of your User Content and are responsible for it.
You grant Nere Labs a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, process, reproduce, display, transmit, and use User Content solely to operate, maintain, improve, moderate, secure, and provide the Service. You represent that you have the rights needed to grant this license.
6) Suggestions and Feedback
If you submit ideas, suggestions, designs, feature requests, or other feedback, you agree that we may use them without restriction or compensation, and that they are not confidential or proprietary to you.
7) Health, Fitness, and Location Features
Heda may use fitness step data, gym context, and location-related data to provide app features. Heda is not a medical service and does not provide medical advice, diagnosis, treatment, emergency services, or professional fitness guidance. You are responsible for your own training decisions and safety.
8) No Paid Plans Current
Heda currently does not offer paid subscriptions or paid in-app features. If paid features are introduced later, we will update these Terms or provide additional terms and notices as required.
9) Privacy, Cookies, and Third-Party Services
Our Privacy Policy explains how we collect, use, and disclose information. By using the Service, you acknowledge our Privacy Policy. The website may use cookies and similar technologies as described there.
The Service may include third-party services, integrations, content, or links, including services used for hosting, authentication, analytics, gym lookup, health integrations, and support. Third-party services are governed by their own terms and policies, and we are not responsible for their content, accuracy, availability, or practices.
10) Intellectual Property
The Service, including software, text, graphics, logos, design, features, and other content, is owned by Nere Labs, its licensors, or other providers and is protected by copyright, trademark, trade secret, and other laws. You may not copy, modify, distribute, sell, lease, or create derivative works from the Service except as expressly allowed by these Terms or applicable law.
11) Copyright Infringement
If you believe material on the Service infringes your copyright, contact us with: your physical or electronic signature; identification of the copyrighted work; identification of the material claimed to be infringing; your contact information; a statement that you have a good-faith belief the use is not authorized; and a statement that the information is accurate and that you are authorized to act for the copyright owner.
12) Service Availability, Changes, and Termination
You may stop using the Service at any time and may request account deletion through in-app settings or support flows. We may suspend or terminate access, disable an account, remove content, or stop providing all or part of the Service if you violate these Terms, create risk for users or platform integrity, or where required or permitted by law.
Upon termination, your right to use the Service ends immediately. Termination does not limit any rights or remedies available to us under these Terms or applicable law.
13) Disclaimers
The Service is provided on an "as is" and "as available" basis with all faults and defects. To the maximum extent permitted by law, Nere Labs disclaims all warranties, express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, security, accuracy, availability, and error-free performance.
Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.
14) Limitation of Liability
To the maximum extent permitted by law, Nere Labs Inc and its directors, officers, employees, affiliates, licensors, and service providers are not liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages, or any loss of profits, revenue, data, goodwill, business opportunities, personal injury, privacy, or other losses arising from or related to your use of or inability to use the Service.
Where liability cannot be excluded, our liability will be limited to the greatest extent permitted by law.
15) Indemnification
You agree to indemnify and hold harmless Nere Labs Inc and its directors, officers, employees, affiliates, agents, partners, licensors, and service providers from claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising from your misuse of the Service, your User Content, your violation of these Terms, your violation of law, or your violation of another person's rights.
16) Governing Law and Disputes
These Terms are governed by the laws of Canada, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the courts of competent jurisdiction in Canada, unless otherwise required by applicable consumer law.
Before filing a formal claim, you and Nere Labs agree to try to resolve the dispute informally by sending a written notice describing the dispute and requested relief to farouk@tryheda.com.
17) Severability, Waiver, and Entire Agreement
If any provision of these Terms is held invalid or unenforceable, that provision will be interpreted to accomplish its objectives to the greatest extent possible, and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and any legal notices or feature-specific terms we provide, form the entire agreement between you and Nere Labs regarding the Service.
18) Changes to These Terms
We may update these Terms so they accurately reflect our Service, policies, or legal requirements. We will update the effective date and, where required, provide additional notice. Continued use of the Service after updates become effective means you accept the updated Terms. If you do not agree to updated Terms, you must stop using Heda and may delete your account.
