By creating an account, accessing, or using Heda, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.
1) Eligibility
You must be at least 18 years old to use Heda. By using the Service, you represent that you meet this requirement and that the information you provide is accurate.
2) Your Account
You are responsible for keeping your login credentials secure and for activity under your account.
- Do not share your account credentials.
- Do not create fake or impersonation accounts.
- Notify us promptly if you suspect unauthorized access.
3) Acceptable Use
You agree not to use Heda for:
- Spam, scams, or fraudulent behavior.
- Harassment, hate, threats, or abusive conduct.
- Explicit sexual content.
- Fake accounts, impersonation, or unauthorized promotions.
- Illegal activity or encouraging illegal activity.
We may investigate violations and take action, including content removal, suspension, or account termination.
4) User Content
You may submit profile details, photos, messages, and support requests ("User Content"). You keep ownership of your User Content. You grant Nere Labs a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and display User Content solely to operate, maintain, improve, moderate, and provide the Service.
5) Health and Location Features
Heda may process fitness step data and location-related data to provide app features. Heda is not a medical service and does not provide medical advice, diagnosis, or treatment.
6) No Paid Plans (Current)
Heda currently does not offer paid subscriptions or paid in-app features. If paid features are introduced later, we will update these Terms and provide required notices.
7) Service Availability and Changes
We may modify, suspend, or discontinue parts of the Service at any time, with or without notice where permitted by law.
8) Termination
You may stop using the Service at any time and may request account deletion through in-app settings or support flows. We may suspend or terminate access if you violate these Terms, create risk for users or platform integrity, or where required by law.
9) Disclaimers
The Service is provided on an "as is" and "as available" basis to the extent permitted by law. We do not guarantee uninterrupted, secure, or error-free operation.
10) Limitation of Liability
To the maximum extent permitted by law, Nere Labs Inc and its directors, officers, employees, and affiliates are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, data, goodwill, or business opportunities arising from your use of the Service.
11) Indemnity
You agree to indemnify and hold harmless Nere Labs Inc from claims, liabilities, damages, losses, and expenses (including legal fees) arising from your misuse of the Service, your User Content, or your violation of these Terms or applicable law.
12) Governing Law and Disputes
These Terms are governed by the laws of Canada, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the courts of competent jurisdiction in Canada, unless otherwise required by applicable consumer law.
13) Changes to These Terms
We may update these Terms from time to time. We will update the effective date and, where required, provide additional notice. Continued use of the Service after updates become effective means you accept the updated Terms.
